These Terms of Use (also “Terms”, “Agreement”) govern your access to and use of The CollectPro website (thecollectpro.com) and the services, software tools, content, and offerings made available through our website and otherwise (collectively, “Services”). By using our website or Services, you agree to be bound by these Terms. If you do not agree, you may not use our Services.

1. Definitions

• “We”, “us”, “our” — The CollectPro.
• “You”, “your”, “Client” — any individual, business, or entity using our Services.
• “Services” — includes debt recovery, digital engagement tools, field recovery, repossession, legal/arbitration support, auctions, dashboards, software, tools, analytics, support, etc.
• “Content” — text, graphics, software, data, tools, interactive features, documentation, etc., made available via our website or Services.
• “Account” — your profile or registration by which you access certain non-public Services.

2. License Grant & Access

• We grant you a limited, non-exclusive, non-transferable, revocable license to use our website, software, tools, dashboards, analytics, etc., solely for your own business’s lawful internal use and solely as permitted under this Agreement and any separate service agreement.
• We may change, suspend, or discontinue any aspect of our Services (including content, features or hours of availability) without notice.

3. Client Obligations and Use Restrictions

You agree:

• To use Services in compliance with all applicable laws, regulations, RBI guidelines, etc.
• To provide accurate, up-to-date information as needed (contact details, business identity, documentation).
• Not to misuse the Services: no unauthorized access, no reverse engineering, no data scraping/mining, no infringing intellectual property rights, no uploading malicious code, etc.
• Not to share your account credentials with unauthorized users.

4. Services, Subscription & Fees

• Details of service packages, fees, payment schedules will be set out in separate contracts or order forms.
• Subscription-based or project-based fees are payable in advance or as agreed. Late payments may attract interest or charges.
• We may offer free trials; such trials are subject to the same Agreement, and any promotional period is non-binding beyond what is explicitly offered.
• Unless otherwise agreed, fees already paid for completed portions of services are non-refundable.

5. Intellectual Property Rights

• All intellectual property rights in our platform, tools, software, dashboards, content, and trademarks are owned by The CollectPro (or licensed to us).
• You may not reproduce, distribute, modify, display or create derivative works of our intellectual property except as expressly permitted in writing.
• You retain ownership of data you submit, but by uploading/submitting content to us you grant us a license to use, reproduce, adapt, display, etc., as needed to provide the Services.

6. Privacy & Data Protection

• Our collection, use, storage and sharing of your personal data and data of third parties (e.g. borrowers or debtors) is governed by our Privacy Policy (which you should read).
• You consent to us processing data as needed for the Services, including possibly sharing with third parties (legal partners, repossession agents, courts etc.), subject to applicable laws.

7. Warranty Disclaimer & Limitation of Liability

• We provide the Services “as is” and “as available”, without warranties of any kind, either express or implied.
• We do not guarantee that all aspects of the Services will always be available, error-free, or meet all your requirements.
• To the fullest extent permitted by law, The CollectPro’s liability to you under this Agreement is limited to the amount you have paid for the relevant Services. We shall not be liable for indirect, incidental, special, CONSEQUENTIAL losses (loss of profit, business interruption, etc.).

8. Indemnification

You agree to indemnify, defend and hold harmless The CollectPro, its directors, officers, employees, agents and partners from and against all claims, losses, liabilities, costs, and expenses (including legal fees) arising out of:

• your breach of these Terms;
• your misuse of the Services;
• any claim by a third party based on materials/data you supplied;
• your violation of laws, regulatory requirements, or rights of others.

9. Termination and Suspension

• We may suspend or terminate your access to Services (or any part) immediately if you breach these Terms, or if we reasonably suspect misuse.
• On termination, all rights granted to you under this Agreement cease, and you shall stop using our content and return or delete any copies if instructed.
• Any obligations that by their nature survive termination (e.g. confidentiality, IP, data protection, liabilities incurred prior to termination) shall survive.

10. Dispute Resolution & Governing Law

• These Terms are governed by the laws of India.
• Any dispute, claim or controversy arising out of or relating to these Terms of Use or Services shall first be addressed informally (you may contact us; we will try to resolve).
• If not resolved within [30 / 60] days, then either party may refer the dispute to arbitration in [City, State: e.g. Delhi / NCR] under the rules of [e.g. Delhi International Arbitration Centre]. The language of arbitration shall be English.

11. Third-Party Links & Content

• Our website or Services may include links to third-party sites, services, or content not owned or controlled by us. We do not endorse such third parties, are not responsible for their practices, and you access them at your own risk.
• Similarly, third-party tools, services or partners used in reconciliation, legal, repossession etc. may have their own terms/policies which you must comply with.

12. Force Majeure

We will not be liable for any failure or delay in performing obligations under this Agreement arising from causes beyond our reasonable control, including natural disasters, governmental action, pandemics, strikes, power failures, internet outage, etc.

13. Assignment

You may not assign or transfer your rights or obligations under this Agreement without our prior written consent. We may assign to affiliates or in case of business sale, merger etc., provided notice is given.

14. Severability & Waiver

• If any provision of these Terms is held invalid or unenforceable under applicable law, that provision shall be deemed severed, and the remainder shall continue in full force.
• No waiver by The CollectPro of any right or remedy shall constitute a waiver of any other right or later right.

15. Amendments to Terms

• We may modify these Terms at any time by posting revised Terms on our website with a new effective date.
• Your continued use of the Services after the changes are posted means you accept the changes.
